FOUNDATION NAME
Article 1
The name of the foundation is AKUT FOUNDATION. In this official deed, it will only be referred to as a foundation.
FOUNDATION CENTER
Article 2
The headquarters of the Foundation is located in Kocatepe Mah. Cumhuriyet Cad. No: 29/18 Taksim Beyoğlu Istanbul Turkey The Foundation may open branches and/or representative offices in Turkey and abroad upon the decision of the Board of Directors of the Foundation within the framework of the relevant legislation.
PURPOSE OF THE FOUNDATION:
Article 3
To work voluntarily in all incidents and accidents requiring search and rescue at home and abroad, in extreme sports, natural disasters and other incidents and accidents requiring search and rescue, to establish the communication chain that will start the search and rescue operation with the notification received by making arrangements for effective search and rescue activities and for the receipt and evaluation of notifications made for people who have been involved in accidents and / or disappeared as soon as possible, To carry out effective search and rescue operations and to create the most suitable conditions by identifying, training or training the trained and certified, suitably skilled team members who can participate in the Search and Rescue operation, ensuring that the team gathers as soon as possible and reaches the scene of the incident.
The Foundation, in order to realize its objectives; To provide training and seminars on first aid/search and rescue, extreme sports, alternative sports and other issues to both the members and volunteers of the foundation and, upon request, to public and private institutions and organizations, educational institutions and individuals other than members, to cooperate with real and legal persons, foundations, associations, public institutions and organizations and non-governmental organizations established and/or to be established for the same purpose in the country and abroad if legal permission is obtained, and to provide consultancy services, AKUT Search and Rescue Association Sports Club, AKUT Foundation, AKUT Search and Rescue Association, To provide financial, logistical or technical contribution to the expenses arising from search and rescue and all activities specified in their statutes of all formations to be established by AKUT Foundation and Search and Rescue Association in the future and to cooperate in line with their objectives and to provide services in this regard, to establish economic enterprises and companies in order to provide income to the foundation, to determine standards on Emergency Management and Search and Rescue, to provide certified and non-certified trainings, to provide consultancy and audit services, provided that the necessary permissions are obtained from the competent authorities; To establish institutes and training centers. In order to protect and safeguard all the qualities, concepts and values defined in the Constitution, to assist the basic objectives and duties of the State, to support the issues determined and protected by the laws in force, with the responsibility and consciousness of being one of the most effective and powerful non-governmental organizations in Turkey, in addition to the search and rescue work, which is the main subject of search and rescue, to carry out all kinds of social, cultural and social issues such as sports, environment and nature, which it sees the gap, deficiency and wrongness in our country; To carry out meetings, symposiums, interviews, walks, events, signature campaigns, preparation of books, brochures and similar publications and aid collection campaigns, public opinion, raising public awareness and similar activities. It is one of the main objectives of AKUT Foundation.
AKUT Foundation’s mission; AKUT Search and Rescue Association’s mission is; “To reach people in distress as soon as possible with an amateur work and a professional approach, completely voluntarily, with an amateur work and a professional approach, in cases of disappearances and accidents occurring in mountain and natural conditions, natural disasters such as earthquakes, floods and major accidents. To create the most favorable conditions for assistance, to provide basic first aid support to the victims and to ensure their transportation to safe environmental conditions by conducting correct and safe search and rescue work. The main purpose of AKUT Foundation is to minimize the loss of life in such incidents and to support the efforts to inform the public about search and rescue issues. AKUT Foundation’s values are volunteerism, gratuitous benevolence, valuing the lives of human beings and other natural beings, honesty and trustworthiness. AKUT FOUNDATION does not engage in politics, the purpose of the Foundation cannot be contrary to the purposes of any official institution and/or organization.
VOLUNTEERING
Article 4
The Foundation does not accept members, but volunteers. Upon the person’s application, Human Resources evaluates the information in the Volunteer entry notification and registers him/her in the Volunteer system. A Volunteer is a person who accepts all the conditions in the Foundation’s charter, benefits from volunteer rights and can undertake all kinds of obligations assigned by the Board of Directors and the heads of the relevant units. Volunteer supports AKUT Search and Rescue Association and can be a candidate for office at all levels of the Foundation, except for the organs specified in the AKUT Foundation charter, provided that they meet the necessary conditions. The obligations of the volunteer are to participate in the working units, activities and trainings that have been or will be established, to make the necessary efforts in accordance with the vision and mission of the Foundation’s purpose and service issues, and to maintain the positive image of the association within the society. Volunteers do not have the right to elect and be elected.
HONORARY VOLUNTEERING
Article 5
Those who are selected as Honorary Volunteers due to their duties in an institution or organization shall automatically cease to be Honorary Volunteers upon the termination of these duties.
EXIT FROM VOLUNTEERING
Article 6
Quitting as a volunteer Each volunteer has the right to quit by submitting a written statement of quit to the Board of Directors. If there is any damage caused to the assets of the Foundation by the exiting volunteer, it is obligatory to compensate him/her and to deliver the Foundation fixtures on his/her person to the management.
EXCLUSION FROM VOLUNTEERING
Article 7
Disengagement from volunteering:
a) Those who, according to the investigation conducted by the Disciplinary Board, are found to have acted contrary to the Foundation Charter or to have worked against the Foundation,
b) Those who subsequently lose the conditions for volunteering according to the provisions of the Law on Foundations and other laws and by-laws,
c) Those who do not make a correct declaration on the volunteering form,
d) Those who fail to fulfill the duties assigned according to the Foundation Deed and internal Regulations are dismissed from Volunteerism with the decision of the Board of Directors.
Those who are dismissed from membership according to paragraph B may be re-admitted to membership if they document that the reason for their dismissal has ceased to exist and if they so request. Those who are dismissed according to subparagraphs A and C cannot be recruited as volunteers again. Those who are dismissed from volunteering for the second time, for whatever reason, will not be allowed to volunteer again.
FOUNDATION ACTIVITIES
Article 8
– To identify volunteers who can participate in search and rescue,
– Providing trainings, organizing seminars and conducting regular drills to volunteers both in organization and before participation in search and rescue with the mediation of authorized persons from Turkey and abroad,
– Conducting and commissioning research on subjects within its field of interest, organizing conferences, panels, seminars, symposiums, opening exhibitions, granting scholarships, publishing books, brochures, magazines, bulletins and similar publications, providing loans to ensure the continuity of these studies,
– Central administrations are the Ministry of National Education, Ministry of Youth and Sports, Ministry of Forestry, Ministry of Interior, Ministry of Public Works, Ministry of Health and related ministries, General Staff, Land Forces Command, Gendarmerie General Command, Naval Forces Command, Air Forces Command, General Directorate of Security, General Directorate of Turkish Airlines, General Directorate of Youth and Sports, Mountaineering Federation, Underwater Federation, Ski Federation, General Directorate of Radio, General Directorate of Mapping, General Directorate of Disaster Affairs, Turkish Aeronautical Association, General Directorate of PTT,
– To negotiate, establish relations and coordinate with all similar public and private sector organizations, especially the General Directorate of Meteorology,
– To make meetings with Universities, Faculties, Academies, Colleges, Sports Clubs, Sports Associations, Tourism Companies, to establish relations with similar organizations, to make coordinated studies,
– In the Provincial Organizations, meetings with Governorships, District Governorships, Gendarmerie Posts, Police Departments, Ministry Organizations, Hospitals, Provincial Directorates of Youth and Sports, Provincial Mountaineering Representatives, and establishing relations with similar organizations,
– To establish relations with these institutions and organizations in particular, as well as private organizations, foundations and associations operating in areas that are in line with its purpose and way of working,
– To establish sports clubs, associations, student communities and similar structures in accordance with its objectives,
– To establish relations with all institutions and organizations that operate in areas that are in line with the objectives of the Foundation in the future.
– The Foundation may not act contrary to the laws, by-laws and regulations, and the purpose and direction of the Foundation, both in terms of the way it operates and its fields of activity. The Foundation’s way of working is in all activities that require search and rescue;
– Making arrangements to receive the notification as soon as possible,
– To establish a communication chain that will start a search and rescue operation with every notification received,
– To ensure that the team that will participate in the operation consists of the most appropriately skilled, certified person and/or persons,
– To determine the gathering of the team as soon as possible, the duties of each of them, where they will get the search and rescue materials, how to establish communication, which tools will be used, reaching the scene, the first intervention to the person found according to the nature of the search and rescue, and the place of delivery,
– To assist the participants in solving permission problems, if any,
– Ensuring that the team reaches the scene as soon as possible,
– Collecting visual archives and compiling information about the operation,
– To organize a report after the operation with the collected archives and information,
– To share all the work carried out with the public on the AKUT website and other communication channels as appropriate,
– To ensure the support of public institutions and private organizations in carrying out these studies. Details on these matters shall be determined by internal regulations to be issued separately.
ACTIONS AND TRANSACTIONS THAT THE FOUNDATION CAN TAKE IN ORDER TO REALIZE ITS PURPOSE:
Article 9
a- It may own and use money and all kinds of movable and immovable properties, intangible and tangible rights such as intellectual property rights and certificates, licenses, privileges and copyrights, trademarks, models, pictures, know-how, which are not restricted in amount and value, by donations, bequests, purchases and leases to be made by real and legal persons, may enter into contracts and may terminate the contracts when necessary.
b- Pursuant to the provisions of the Law on Foundations, it may make all kinds of legal dispositions, buy and sell movable and immovable properties, construct, subdivide and unify, transfer and relinquish them; establish all kinds of pledges and mortgages, easement rights on its own immovables for its own receivables and for the receivables of others and on its own immovables for the receivables of others, and may renew, modify, change and terminate them, make and terminate lease agreements, have them registered in the land registry and remove the registrations, take over and/or transfer the lease agreements, collect the revenues of the immovables and spend these revenues in line with the purposes of the foundation.
c- The Foundation may use one or more immovable properties and/or revenues included in the assets of the Foundation in one or more investments in line with the purposes of the Foundation, and may manage and dispose of the movable and immovable properties and funds acquired through donations, bequests, purchases and other means in line with the purposes of the Foundation, provided that they do not contradict the purposes and services of the Foundation. The Foundation may purchase securities, provided that it does not act as an intermediary in line with its purposes, and may evaluate and sell them in line with its purposes.
d- It may cooperate with associations, foundations, real and legal persons, public institutions and organizations in the country and abroad when legal permission is obtained, which are engaged in activities similar to the objectives of the Foundation, may receive assistance from them, may make agreements to provide this assistance, may terminate these agreements when deemed necessary, may accept and grant non-property rights in rem such as easement, usufruct, succour, over pledge, mortgage of immovable property.
e- In accordance with the provisions of the Civil Code, provided that it is not for profit and speculation, is not an intermediary and is used in line with the purposes of the foundation, it may carry out all kinds of appropriation and disposition transactions related to all kinds of real and / or intangible rights, establish and release all kinds of real and personal easements on real estates and use these rights, and may take all kinds of guarantees, including pledges and mortgages of movable and immovable property, for the contracts to be made with its current or future revenues, The Foundation may accept valid bank sureties, may borrow, lend, take and give sureties, pledges, mortgages and other guarantees when necessary to realize the purposes and services of the Foundation, may generate income in line with the purposes of the Foundation from the projects and all kinds of activities carried out and to be carried out in accordance with the purposes and services of the Association.
f- In order to provide income to the Foundation in line with its objectives, it may establish economic enterprises, partnerships and companies that will operate according to ordinary business principles, participate in the established ones, operate them directly and/or have them operated by an operator under its supervision, enter into ventures, savings, property acquisition, construction, sponsorship and similar contracts deemed useful and necessary for the realization of one or all of the objectives and service subjects of the Foundation, terminate them when necessary, open Training centers providing theoretical and practical training.
g- It may send those who are affiliated to the Foundation with a service contract and those who work voluntarily to realize the purpose of the Foundation to training, certification programs, drills at home and abroad by covering their expenses, and may organize training programs in order to provide the income necessary and to be used for the purposes of the Foundation regarding the rescue work that can be done in nature sports, natural disasters and all other events and accidents that require search and rescue.
h- In order to contribute to the activities in line with its objectives, the Foundation may establish and operate educational and cultural centers for educational and training activities, sports fields, gymnasiums, camps, facilities for sports activities, and/or have them operated by an operator under its supervision, provided that it obtains legal permission from the Ministry of National Education and other relevant authorities and that the laws do not prohibit foundations from doing so. With all kinds of Land, Sea and Air vehicles, it can carry out training and awareness raising activities on basic disaster awareness, social, cultural and educational activities on first aid and other issues, health screenings and search and rescue activities with the responsibility and awareness of being a non-governmental organization in the country and abroad if the necessary permissions are obtained in accordance with the current laws.
i- In line with its purpose, the Foundation may publish magazines, newspapers, books, brochures and similar publications, may distribute these publications, and may carry out all kinds of written or visual productions and programs using visual and audio media and communication channels and tools, provided that the necessary legal permissions can be obtained. It can deliver these productions to the public or target audiences through all kinds of printed or visual media.
j- In order to provide communication in search and rescue activities, which is the main purpose of the Foundation, it may establish radio stations, radio system, antenna role, frequency allocation on its behalf by obtaining the necessary permissions from the competent authorities. It may use fixed and mobile radio devices within the scope of the Law No. 2813 and/or the laws that will replace it, carry out similar telecommunication operations, and establish amateur radio stations in AKUT training and education institutions in order to provide radio/telecommunication training to its own members and third parties in the public and private sector and to be used in AKUT operations, and may make all kinds of use and use them in emergency and disaster operation communication.
k- In addition to Search and Rescue activities, the Foundation, with the responsibility and awareness of being one of the most effective and powerful non-governmental organizations in Turkey, in order to protect and safeguard all the features, concepts and values defined in our Constitution, to assist the basic objectives and duties of the State, to support the issues determined and protected by the laws in force, with the responsibility and awareness of being one of the most effective and powerful non-governmental organizations in Turkey, in addition to the search and rescue activities, which is the main subject, it can carry out meetings, symposiums, talks, walks, events, signature campaigns, book, brochure and similar publications preparation and collection campaigns, public opinion formation, public awareness raising and similar activities; meetings, symposiums, talks, walks, events, signature campaigns, preparation and collection campaigns of books, brochures and similar publications, public opinion formation, public awareness raising and similar activities.
l- The Foundation may cooperate with University Student Communities and Associations and provide consultancy services in line with its objectives. j- In line with the objectives of the Foundation; AKUT Search and Rescue Association, AKUT Search and Rescue Association Sports Club and AKUT Foundation may establish a Sports Club to support the sports activities of the athletes within the Foundation.
m- In line with its objectives, the Foundation may establish Institutes and Training Centers that set standards on Emergency Management and Search and Rescue, provide certified trainings, provide consultancy and audit services.
n- AKUT Foundation together with AKUT Search and Rescue Association, which is the founder of AKUT Foundation, and AKUT Sports Club, which was also founded by AKUT Search and Rescue Association, have mutually undertaken to carry out all kinds of selfless work in order to ensure the continuity of the activities of these three organizations. Therefore, it is stipulated in the bylaws that these three organizations can use each other’s goods and equipment without any restrictions in all activities and that volunteers will not have any claim rights in case of accidents and similar incidents that may arise during this use. The Foundation is authorized to carry out these works and transactions pursuant to Article 48 of the Turkish Civil Code. is authorized and empowered as stated in the article. The Foundation will adhere to Atatürk’s Principles and Revolutions in its works and transactions to realize its purpose and will not engage in politics. The Foundation may not act contrary to the Laws, Bylaws and Regulations in terms of both the way it operates and its fields of activity. The Foundation may not use its Authorities, Responsibilities and Revenues for purposes prohibited by the Law and may engage in all kinds of income-generating activities provided that they do not contravene the Law. In accordance with Article 20 of Law No. 4.962, the Foundation shall spend at least two-thirds of the gross revenues generated during the year for the purposes of the Foundation.
FOUNDATION ASSETS
Article 10
The foundation’s founding asset is 50.000,00 TL allocated to the foundation by the founders. The founding assets may be increased by additions to the assets following the establishment of the foundation.

BOARD OF TRUSTEES
Article 12
The board of trustees of the foundation is the real persons whose names are written in the attached list and whose signatures are under this foundation deed and the Chairman of the Board of Directors representing AKUT Search and Rescue Association. In the event of a vacancy in the membership of the board of trustees due to death, resignation or any other reason, an election shall be held for the vacant membership upon the proposal of the members of the board of trustees and the decision of the board of trustees.
DUTIES AND POWERS OF THE BOARD OF TRUSTEES
Article 13
The board of trustees is the highest decision-making body of the foundation. The powers of the board of trustees are shown below:
a) To elect the Board of Directors,
b) To elect the Supervisory Board,
c) To discuss and examine the annual report prepared by the Board of Directors of the Foundation and the reports of the Board of Auditors, and to decide on the discharge of the Board of Directors,
d) To adopt the draft internal regulations of the Foundation to be prepared by the Board of Directors, either as they are or with amendments, e) To adopt the budget proposals to be prepared by the Board of Directors as they are or with amendments,
f) To determine whether the members of the board of directors and supervisory board other than public officials will be entitled to attendance fees and, if so, the amount of such fees,
g) To make additions and amendments to the foundation deed when necessary,
h) To determine general policies regarding the activities of the Foundation.
MEETING TIME AND DECISION NUMBER OF THE BOARD OF TRUSTEES:
Article 14
The first meeting of the board of trustees shall be held within one month following the registration of the foundation.
a) In April every year to discuss the approval of the balance sheet and work reports,
b) In November every year to discuss the approval of the budget and work reports,
c) It convenes every three years in April to discuss issues related to the conduct of elections. The board of trustees may also convene extraordinarily upon the necessity deemed necessary by the board of directors or upon the written request of at least one third of the members of the board of trustees to the board of directors.
In ordinary and extraordinary meetings, issues not included in the announced agenda cannot be discussed. However, immediately after the formation of the council at the ordinary meeting, upon the written proposal of at least one tenth of those present, it is possible to add items to the agenda, except for the amendment of the deed and the issues that will impose obligations and responsibilities on the foundation organs and the foundation.
The date, place, time and agenda of the meeting shall be notified at least 7 (seven) days prior to the date of the meeting by registered letter and other means of communication in return for signature or in a way to reach the members. The Board of Trustees convenes with one more than half of the total number of members. If the majority is not achieved, the meeting shall be held one week later on the same day and time at the same place. In this second meeting, the quorum cannot be less than one third (1/3) of the total number of members. The quorum of the Board of Trustees is one more than half of the participants in the meeting.
In case of equality of votes, the vote of the chairman of the council shall count as two votes. The manner of voting shall be decided separately. Each member has one vote. A member who cannot attend the meeting may appoint another member of the board of trustees as his/her proxy by submitting a petition. One person cannot hold more than one power of attorney. The quorum for the amendments, corrections or additions to be made to the foundation deed is two-thirds (2/3) of the total number of members.
BOARD OF DIRECTORS
Article 15
The Board of Directors of the Foundation consists of 7 full and 3 substitute members to be elected by the Board of Trustees for two years. The majority of the board members must be members of the board of trustees. It is possible to elect outsiders to the board of directors of the foundation, provided that they do not constitute a majority. At the first meeting of the Board of Directors, the chairman, vice-chairman and accountant members are elected and the division of duties is made. In the place of a member whose membership of the Board of Directors expires for any reason before the end of his/her term of office, one of the substitute members shall be called to duty in order of rank. The Board of Directors meets at least once a month. A member of the Board of Directors who fails to attend 2 consecutive meetings without a valid excuse shall be deemed to have withdrawn from this duty. The meeting quorum is 4 and decisions are taken by the majority of those present. In case of equality of votes, the chairperson’s vote counts as two votes. The decisions taken are written in a notarized decision book and signed.
DUTIES, POWERS AND RESPONSIBILITIES OF THE BOARD OF DIRECTORS
Article 16
The board of directors is the administrative and executive body of the foundation. In this capacity, the board:
a) Takes and implements all kinds of decisions in line with the purpose of the Foundation.
b) Ensures that the activities of the foundation are carried out regularly and efficiently in the light of the general policies determined by the board of trustees. In this context, it prepares the necessary internal legislation drafts and submits them to the Board of Trustees for approval.
c) Carries out the necessary work on the evaluation of the Foundation’s assets and the acquisition of new financial resources.
d) On behalf of the legal entity of the Foundation, it makes necessary initiatives and transactions with all real and legal persons in legal, financial and other matters.
e) Provided that the duties, powers and responsibilities are clearly determined in advance, it may appoint a director to the foundation, establish a foundation general secretariat or similar auxiliary units, and terminate their duties when necessary.
f) It determines the personnel to be employed by the Foundation, appoints them, determines their salaries, and terminates their employment when necessary.
g) Within the framework of the provisions of the relevant legislation, it decides on the opening and closing of representative offices at home and abroad, and takes the necessary actions in this regard.
h) It follows and controls the accounting affairs of the Foundation, ensures that the income-expenditure statement and balance sheets are prepared at the end of the accounting period and sent to the relevant administration and announced.
i) It implements the annual budget adopted by the Board of Trustees.
j) It fulfills the preparatory procedures for the meetings of the Board of Trustees.
k) At the meetings of the Board of Trustees, it submits the Foundation’s activity report for the period to the Board of Trustees for approval. I) Performs other duties required by the relevant legislation, the foundation deed and the internal legislation of the foundation.
m) It elects and appoints the Disciplinary Board.
FOUNDATION REPRESENTATION
Article 17
The Board of Directors represents the Foundation, and the Board of Directors may delegate this representation and binding authority to the Chairman of the Board of Directors, the Vice Chairman of the Board of Directors, the Secretary General and the Treasurer. Representation and Binding of the Foundation shall be by double signature of any two of these persons. The Board of Directors may also authorize one or more of the members of the Board of Directors, any one or more of its authorized officers and officials, its representative or representatives to conclude a contract, to issue and transfer a contract, legal document or deed on behalf and account of the Foundation, in general or in specific cases and matters, within the principles to be specified by it.
SUPERVISORY BOARD
Article 18
The board of auditors is a body established to audit the activities and accounts of the foundation on behalf of the board of trustees. The supervisory board consists of 3 persons to be elected by the board of trustees for a period of two years from within the board or from outside, provided that they do not constitute a majority. In addition, 2 substitute members are elected. The substitute member shall be called to duty instead of the original member who leaves for any reason. The supervisory board conducts its examinations on all books, records and documents. After the accounts of the Foundation are certified by certified public accountants, the report to be prepared as of the accounting period is given to the board of directors to be sent to the board of trustees at least 15 (fifteen) days before the board of trustees meeting.
RIGHT TO PEACE
Article 19
The AKUT Foundation does not and cannot allocate honorarium for the members of the board of trustees. Work is voluntary and this rule cannot be changed, except for wage earners who are employed and covered by the Social Security Institution.
FOUNDATION REVENUES
Article 20
The income of the Foundation is shown below.
a) All kinds of conditional and unconditional donations and aids in accordance with the purpose of the Foundation.
b) Miscellaneous income to be obtained from the activities of the Foundation.
c) Income from economic enterprises, subsidiaries and partnerships.
d) Revenues to be generated from the valuation of the Foundation’s movable and immovable properties and other assets and rights.
PLACES WHERE FOUNDATION INCOME WILL BE ALLOCATED AND SPENT
Article 21
At least two-thirds of the Foundation’s annual gross revenues shall be allocated and spent for the purposes of the Foundation and the remainder shall be allocated and spent for management and maintenance expenses, reserves and investments to increase the assets of the Foundation.
RESMî BOND CHANGE
Article 22
Amendments to be made in the foundation deed shall be made with the written proposal of at least three-fifths (3/5) of the members of the board of trustees and with the approval of at least two-thirds (2/3) of the total number of members of the board of trustees.
TERMINATION OF THE FOUNDATION
Article 23
In the event that the foundation is terminated for any reason, the assets remaining after the liquidation of the foundation may be transferred to another foundation or association that is currently operating according to the decision of the board of trustees. If the board of trustees takes no further decision, the remaining assets are transferred to the Turkish Red Crescent. The termination of the Foundation is only possible with the written proposal of at least one more than half of the total number of members of the board of trustees and the approval of two-thirds (2/3) of the total number of members of the board of trustees.
